Terms of Service

1. Operator and covered services

These Terms are an agreement between you and UrExcellency Technologies ("UrExcellency," "we," "us," or "our"), based in West Bengal, India. They govern the UrExcellency Studio website and the publishing tools and production workflows operated for:

The Studio umbrella name, an app registration, or an authorization screen may display one of these individual names while linking to studio.urexcellency.com. In that case, these Terms apply to that app's use of the shared UrExcellency Studio publishing infrastructure.

By accessing or using a covered service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. What the Service does

UrExcellency Studio operates tools that help authorized operators prepare, review, and distribute original videos and related metadata for the covered brands. Features may include AI-assisted text, image, audio, or video production; clip preparation; caption and hashtag generation; quality review; and delivery to a connected social-platform account.

The Studio's TikTok delivery path uses Login Kit with its default user.info.basic scope to establish the app-specific creator connection and the Content Posting API Upload flow with video.upload. It transfers an operator-selected video and required technical transfer data to the authorized creator's TikTok inbox as a draft. Locally prepared caption or hashtag suggestions are not submitted by that Upload API request. The creator must open TikTok, review or edit the draft, add metadata and disclosures as needed, and decide whether to complete publication.

3. Eligibility and authorized access

• You must be at least 18 and legally capable of agreeing to these Terms.
• You may connect or use only accounts that you own or are expressly authorized to manage.
• You must provide accurate authorization information and protect credentials, devices, and access tokens.
• You must not share access to publishing tools with an unauthorized person.
• You are responsible for activity performed through your authorized access.

4. TikTok Content Posting API Upload

When you connect TikTok or initiate an upload:

• you authorize Login Kit's default user.info.basic scope for the app-specific account connection and video.upload to send a selected draft;
• we use that authorization only to carry out the inbox-draft upload action you request;
• the selected video and required technical transfer data are transmitted to TikTok;
• the Upload API request does not automatically publish the video or set its final caption, hashtags, visibility, or audience controls;
• the creator must follow TikTok's inbox notification to review, edit, label, and complete or abandon the draft;
• TikTok controls availability, limits, processing, moderation, distribution, visibility, and removal; and
• you may revoke authorization through TikTok, but revocation does not remove previously transferred content.

Your use of TikTok remains subject to TikTok's own Terms of Service, Community Guidelines, intellectual-property rules, music rules, branded-content rules, and other applicable policies.

5. AI-assisted and edited content

Covered workflows may create or materially alter text, images, voices, audio, and video with automated or generative tools. Outputs can be inaccurate, unexpected, unsuitable, or similar to existing material. An authorized operator must review every output before transfer or publication.

You are responsible for applying any AI-generated-content label, synthetic-media disclosure, commercial-content disclosure, age restriction, or other notice required by TikTok, another platform, or applicable law before publication.

6. Content rights and responsibilities

As between you and UrExcellency, you retain any rights you hold in content you provide. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, reproduce, adapt, and transmit that content solely as necessary to operate the requested production and publishing workflow.

You represent and agree that:

• you own or have permission to use and publish all submitted text, images, video, audio, music, trademarks, voices, and likenesses;
• your content and instructions do not violate privacy, publicity, intellectual-property, contractual, or other rights;
• you will not misleadingly present fictional or synthetic events as authentic;
• you will review captions, hashtags, account selection, disclosures, and the final media before publication; and
• you will comply with applicable laws and the destination platform's rules.

7. Prohibited use

You may not use a covered service to:

• access an account without authorization or evade platform access controls;
• spam, manipulate engagement, circumvent rate limits, or distribute deceptive content;
• publish unlawful, fraudulent, defamatory, hateful, exploitative, or infringing material;
• sexually exploit or endanger minors;
• misappropriate a person's identity, voice, likeness, confidential information, or personal data;
• publish music, footage, or other protected material without the necessary rights; or
• interfere with the Service, its security, or any connected platform.

We may disable access, stop a transfer, preserve relevant records, or report conduct when reasonably necessary to protect the Service, users, platforms, or the public.

8. Music, promotions, and platform disclosures

You are responsible for obtaining all required music, sound-recording, image, footage, talent, sponsorship, and commercial-use rights. You must accurately use TikTok's or another platform's commercial-content controls when a post promotes an UrExcellency brand, a third party, or a paid relationship.

9. Third-party services

Connected platforms and providers are independent services. Their outages, API changes, account actions, moderation decisions, and policy changes are outside our control. We do not guarantee that a transfer will complete, a draft will be accepted, a post will remain available, or content will receive any particular reach or revenue.

10. UrExcellency intellectual property

UrExcellency Studio software, workflows, branding, site design, documentation, and original materials are owned by UrExcellency or its licensors. These Terms grant no right to copy, resell, reverse engineer, or create a competing service from them except where applicable law expressly permits it.

TikTok and all other third-party marks belong to their respective owners and are referenced only to identify integrations or destinations.

11. Availability and changes

We may update, limit, suspend, or discontinue a feature to address technical, security, legal, operational, or platform requirements. We may also update a covered brand name or add a new UrExcellency publishing service. Material changes to these Terms will be reflected by the "Last updated" date.

12. Disclaimers

To the maximum extent permitted by law, the Service and all generated or processed content are provided "as is" and "as available." We do not warrant uninterrupted operation, error-free output, permanent storage, successful transfer or publication, originality, platform acceptance, reach, recommendation, or monetization.

Nothing in these Terms excludes a right or liability that applicable law does not permit us to exclude.

13. Limitation of liability

To the maximum extent permitted by law, UrExcellency will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or data; failed uploads; content removal; account restrictions; or reliance on an AI output. Where liability cannot be excluded, it is limited to the amount paid, if any, for the specific covered service during the six months before the event giving rise to the claim.

14. Termination and data requests

You may stop using a covered service or revoke its TikTok authorization at any time. We may suspend or terminate access for a material breach, security risk, unlawful conduct, or platform-policy violation. For a data or deletion request, contact help@urexcellency.com.

15. Governing law

These Terms are governed by the laws of India. Subject to any mandatory consumer protections, disputes will be subject to the courts in Kolkata, West Bengal, India.
